GENERAL TERMS AND CONDITIONS

  1. Validity & Currency
  2. This proposal is valid for thirty (30) calendar days from the date stated above. All prices are in U.S. Dollars.
  3. Payment Terms
  4. Payment terms are wire transfer in advance, unless otherwise agreed in writing by RADWIN.
  5. Taxes
  6. All prices exclude VAT, sales tax, withholding tax, customs duties, or similar governmental charges. Such taxes, if applicable, shall be borne by the buyer. Withholding taxes related to services are not included in the service pricing, and any applicable withholding taxes shall be borne by the buyer, with payments to RADWIN made net of such taxes.
  7. Title and Ownership
  8. All ownership, right, title, and interest in the Products shall remain with RADWIN until full payment of the Price by the customer.
  9. Delivery & Incoterms
  10. All prices are EXW (Incoterms® 2020) RADWIN warehouse (Philippines and/or India and/or China). Transportation, insurance, customs clearance, duties, and any related charges are the responsibility of the buyer. Orders fulfilled from a local RADWIN hub may incur additional charges in accordance with the applicable partner or distribution agreement.  RADWIN reserves the right to charge the buyer for reasonable costs incurred due to the buyer’s failure to collect the goods after RADWIN has notified the buyer that the goods are available for pickup, including storage, handling, and related expenses.
  11. Warranty
  12. Standard product warranty is fifteen (15) months from the date of shipment. Extended warranty options are available upon request.
  13. Scope of Supply & Services
  14. Products and services shall be provided strictly in accordance with the scope described in this proposal. Any items or services not explicitly included are excluded unless agreed in writing by RADWIN.
  15. Delivery Schedule
  16. Delivery dates and service schedules are estimates only and may vary depending on product type, order quantities, availability, and customer readiness.
  17. Limitation of Liability
  18. RADWIN’s total liability arising out of or related to this proposal shall not exceed the amounts paid for the applicable products or services. In no event shall RADWIN be liable for indirect, incidental, or consequential damages.
  19. Governing Law
  20. This proposal shall be governed by the laws of the State of Israel, unless otherwise agreed in writing.
  21. Bank Details
  22. Bank details will be provided on the proforma invoice and may vary depending on the receiving bank.
